We may 'share' certain identifiers and app events for targeted advertising as defined by US state laws. You can opt out in the app. 👶 We do not knowingly collect data from children. 1) Who we are Light Side LLC (‘we’, ‘us’) develops and publishes video games, applications, and software developer tools (such as UniText). We act as the data controller for the processing described in this Policy. 2) Scope This Policy covers Light Side Gaming Business Unit, our software products and associated license sales, and our websites operated under the Light Side brand, worldwide. 3) Data we process - Usage & diagnostics (events, sessions, IP address, coarse location/country, device/OS, app version) — analytics, crash detection, product improvement. - Game progress & identifiers (player/account ID, achievements, cloud saves, anti-cheat signals) — core functionality and sync. - Purchase information (SKU, region, purchase token/receipt, license tier, company name for software license purchases) — purchase fulfillment, license delivery, refunds, fraud prevention. For software license purchases through our website, Paddle.com Market Limited acts as the Merchant of Record and an **independent data controller** for payment data. Paddle collects billing information (name, email, billing address, payment method) directly. We never receive or store your payment card details. Paddle shares limited buyer data with us (email, name, country, purchase details) for order fulfillment under legitimate interest. See [Paddle's Privacy Policy](https://www.paddle.com/legal/privacy). - Ads/attribution data (ad impressions, clicks, resettable advertising IDs such as IDFA/AAID, SKAdNetwork postbacks, context signals) — showing ads, frequency capping, measurement (ad-supported titles). - Support data (email, message content, attachments, device diagnostics you choose to send) — customer support and troubleshooting. 4) Purposes & legal bases Depending on your location, we rely on: (a) consent (where required for advertising/analytics cookies/SDKs in the EEA/UK, and for access to IDFA under Apple ATT); (b) performance of a contract (to deliver the game/app, cloud saves, and purchases); (c) legitimate interests (security, anti-fraud, crash diagnostics, non-personalized analytics); and (d) compliance with legal obligations (tax/accounting). You may withdraw consent at any time via in‑app settings or our consent banner (where shown). 5) Advertising choices (opt-out) You can opt out of ‘targeted advertising’ and certain measurement at any time in **Settings → Privacy → Advertising choices**. For California and other US states, you can use the button **‘Do Not Sell or Share My Personal Information’** to opt out of ‘sharing’ for cross‑context behavioral advertising. On Android/iOS you can also reset or limit the advertising identifier in OS settings. We honor Apple ATT choices and SKAdNetwork measurement when IDFA is unavailable. 6) Apple App Tracking Transparency (iOS) On iOS, we request permission via Apple’s App Tracking Transparency. If you decline, we do not access the IDFA and only use contextual ads and privacy‑preserving measurement (e.g., SKAdNetwork). 7) Third‑party services (processors) ### Firebase Analytics / Crashlytics Firebase Analytics collects usage and stability metrics; Crashlytics helps diagnose crashes. Data may include device/OS info, app version, events, and crash logs. ### Google AdMob / Unity Ads Ad networks (e.g., Google AdMob, Unity Ads) show ads and measure performance using resettable advertising IDs and context signals. You can reset or limit ad tracking in your OS. ### Google Play Games Services Google Play Games Services for cloud saves, achievements, leaderboards, and platform integrations. ### AppsFlyer AppsFlyer provides install attribution and campaign performance using identifiers and non‑sensitive event data. ### Paddle (Merchant of Record) **Paddle.com Market Limited** acts as our Merchant of Record and online reseller for software license purchases. Unlike our other service providers, Paddle is an **independent data controller** (not our data processor) for buyer payment data collected during checkout. Paddle processes payment information, issues invoices/receipts, determines and collects applicable taxes, and handles payment-related customer service. We receive only limited buyer data (email, name, country, purchase amount) for order fulfillment. See [Paddle's Privacy Policy](https://www.paddle.com/legal/privacy) for how Paddle handles your data. Except for Paddle (which is an independent data controller as described above), we engage these providers under data‑processing contracts; they must protect data and use it only on our instructions. 8) Sharing We do not sell personal data. We disclose data to: (a) service providers acting as our data processors (Firebase, AppsFlyer, etc.); (b) platform providers (Google/Apple); (c) Paddle.com Market Limited, acting as an independent data controller and our Merchant of Record for software license sales; and (d) where required by law or to protect rights, safety, and integrity. We only use buyer data received from Paddle for order fulfillment, product support, and fraud prevention. 10) International transfers We are based in Georgia (Tbilisi). Your data may be transferred to and processed in countries outside your country of residence, including the United States, United Kingdom, and EU member states, where our service providers (including Paddle, Firebase/Google, AppsFlyer) operate. Where data is transferred internationally, we use appropriate safeguards such as Standard Contractual Clauses (SCCs) or rely on adequacy decisions. Some providers participate in the EU‑US Data Privacy Framework. Under Georgian personal data protection law, transfers to countries not on the approved adequacy list are made with appropriate safeguards or with your consent. You can contact us to request information about these safeguards. 11) Children We do not knowingly collect personal data from children. In mixed‑audience titles we apply an age gate and disable personalized ads/attribution for users identified as under the applicable age (e.g., under 13 in the US, under 16 in the EEA/UK for ad ‘sharing’). If you believe a child provided data to us, please contact us and we will delete it and disable personalization. 12) Your rights Depending on your region, you may have rights to access, correct, delete, port, object, restrict, withdraw consent, or appeal our decision. To exercise rights, use the in‑app request form or contact us at the email below. We respond within 10 working days (Georgian law), 30 days (EEA/UK GDPR), or 45 days (US state privacy laws). California residents may use an authorized agent. You have the right not to be discriminated against for exercising your rights. EEA/UK residents can lodge a complaint with a supervisory authority. Georgian residents can contact the Personal Data Protection Service (https://personaldata.ge). 13) Cookies & consent Our websites currently do not use non‑essential cookies/SDKs. If this changes, we will show a consent banner that lets you accept, reject, or change choices at any time. 14) Accounts and deletion You can create an in‑game account to sync progress and use social features. You can delete your account at any time in **Settings → Account → Delete account** or by contacting us. Deleting an account removes personal data and cloud saves linked to the account within 30 days (backups may persist for a limited period). You can also disconnect Google Play Games or Apple Game Center from their respective settings. 15) User‑generated content (UGC) & moderation UGC (e.g., chat, profiles, guild names) is visible to other players as part of gameplay. We moderate to enforce our community rules and may take action on abuse reports. Do not share sensitive information in UGC. 16) Security We use technical and organizational measures appropriate to the risk (encryption in transit, encryption at rest where applicable, access controls, least privilege, logging, regular patching, incident response). No system is 100% secure. 17) Changes We may update this Policy from time to time. We will post a new version with a new effective date. 18) Contact Data controller: Light Side LLC. Upon payment of the applicable license fee, the Licensor grants the Licensee a **perpetual, non-exclusive, non-transferable, worldwide** license to use the licensed software ('Software') for commercial purposes, subject to the terms of this Agreement. **Software Description:** The Software covered by this Agreement is identified at the time of purchase (e.g., UniText — a text rendering and shaping engine for Unity). The specific product name, version, and description are included in the purchase confirmation. **Territory:** This license is valid worldwide, in all countries and jurisdictions. **Term:** This license is perpetual and does not expire, subject to compliance with the terms of this Agreement. 2) Scope of License This license covers the Software product identified at the time of purchase and all versions released during the lifetime of the license. **Per-Company Model:** For licenses purchased directly from Light Side LLC, one license covers all employees, contractors, and agents of the Licensee's legal entity. There is no per-seat limitation. This includes use on CI/CD servers, build machines, and automated pipelines operated by or on behalf of the Licensee. **Per-Seat Model:** For licenses purchased through the Unity Asset Store, each seat requires a separate license, per Unity's terms. Build servers and CI/CD machines used solely for automated builds are excluded from the seat count. 3) License Tiers & Revenue Compliance Commercial licenses are offered in the following tiers based on the Licensee's **Revenue**: **Indie** — Revenue up to $100,000 USD per year **Studio** — Revenue between $100,000 and $1,000,000 USD per year **Enterprise** — Revenue exceeding $1,000,000 USD per year **Definition of Revenue:** 'Revenue' means all gross income or funds raised by the Licensee's legal entity in the last twelve (12) calendar months, from any source, including but not limited to digital or physical product sales, services, contracts, grants, crowdfunding, investment funding, or other activities, whether or not related to the Software. **Self-Certification:** By purchasing a license, the Licensee certifies that the selected tier accurately reflects their Revenue. The Licensee must keep records sufficient to verify compliance with the applicable tier. **Audit Rights:** On the Licensor's written request, the Licensee must certify in writing within 30 days that their use of the license is in full compliance with the applicable tier. If a review reveals that the Licensee's Revenue exceeds the tier threshold, the Licensee must purchase an upgrade to the appropriate tier within 30 days. **Revenue Changes:** If the Licensee's Revenue exceeds their current tier threshold at any point, the Licensee must upgrade before shipping any new commercial product. Existing shipped products may continue to be sold under the tier at which they were originally shipped. 4) Rights Granted The Licensee may: • Use the Software in an **unlimited number of projects** • Ship, distribute, and sell products that incorporate the Software • Modify the Software source code for internal use and for inclusion in shipped products • Use the Software on **all supported platforms** (Windows, macOS, Linux, Android, iOS, WebGL) • Use the Software for the **lifetime of the license** without recurring fees • Access and use all future updates and versions of the Software released after purchase • Include the Software in products distributed to end users (the end users do not need a separate license to use those products) 5) Restrictions The Licensee may **not**: • Sublicense, sell, rent, lease, or transfer the license to any third party • Redistribute the Software source code or compiled binaries as a standalone product or library • Use, reverse engineer, or implement the Software, in part or in full, in a **Competing Product** • Share, publish, or make available the Software in a way that enables unlicensed commercial use by third parties • Remove or alter copyright notices, license headers, or attribution in the Software • Misrepresent the Licensee's Revenue to obtain a lower-tier license **Definition of Competing Product:** A 'Competing Product' means a text rendering engine, text shaping library, font rendering library, or any product whose primary purpose is substantially similar to the Software. **Exclusions:** The restrictions above do not apply to: • Games, applications, and other end-user products developed *with* the Software • Add-ons, tools, extensions, or assets created *for* the Software (e.g., custom modifiers, themes, plugins) • Components of the Software that are governed by separate third-party open-source licenses 6) Source Code The Software source code is publicly available on GitHub under the PolyForm Noncommercial License 1.0.0. This Commercial License grants the Licensee the right to use the source code for commercial purposes, superseding the non-commercial restriction of the PolyForm NC license for the scope of this Agreement. The Licensee may modify the source code. Modified versions remain subject to this Agreement and may not be distributed separately from the Licensee's products. The PolyForm NC license continues to govern any use of the Software not covered by this Commercial License. 7) Support & Maintenance The Licensor provides: • Community support via Discord and GitHub Issues • Bug fixes and updates via the Software's GitHub repository • Documentation at the Software's official website Support response times are not guaranteed. Enterprise Licensees may negotiate separate support agreements, including priority support, SLAs, and custom terms, by contacting [unity@lightside.media](mailto:unity@lightside.media). 8) Warranty & Liability THE SOFTWARE IS PROVIDED 'AS IS' WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OF THE SOFTWARE. The Licensor's total aggregate liability shall not exceed the amount paid by the Licensee for the license in the twelve (12) months preceding the claim. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law. 9) Termination This license is **perpetual** and does not expire, provided the Licensee complies with the terms of this Agreement. The Licensor may terminate this license if the Licensee materially breaches this Agreement and fails to cure the breach within 30 days of written notice. Upon termination, the Licensee must cease commercial use of the Software. Sections 5 (Restrictions), 6 (Source Code), and 8 (Warranty & Liability) survive termination. **Governing Law:** This Agreement is governed by the laws of Georgia. Disputes shall be resolved through good-faith negotiation. If negotiation fails, disputes may be submitted to the Georgian International Arbitration Centre (GIAC) under its rules, or to the competent courts of Tbilisi, Georgia. EU/UK consumers retain the right to bring proceedings in the courts of their country of residence. 10) Contact **Light Side LLC** Address: Georgia, Tbilisi, Saburtalo district, Bakhtrioni street, N22, flat N75 Email: [unity@lightside.media](mailto:unity@lightside.media) Website: [lightside.media](https://lightside.media) This document describes the standard commercial license terms. There is no per-seat limitation. **Per-Seat Model (Unity Asset Store):** Licenses purchased through the Unity Asset Store are governed by the Unity Asset Store Terms of Service in addition to these Terms. Each seat requires a separate license. The Commercial License includes the right to: • Use the Software in any number of projects • Ship products that incorporate the Software • Modify the Software source code for internal use and for inclusion in shipped products • Use the Software on all supported platforms • Use the Software for the lifetime of the license without recurring fees 4) Non-Commercial Use The Software source code is publicly available on GitHub under the **PolyForm Noncommercial License 1.0.0**. You may use, modify, and distribute the Software for non-commercial purposes free of charge, subject to the terms of that license. Non-commercial use includes personal projects, academic research, educational purposes, hobby projects, and use by charitable organizations. If you are uncertain whether your use qualifies as non-commercial, please refer to the [PolyForm NC license text](https://polyformproject.org/licenses/noncommercial/1.0.0/) or contact us. If your use transitions from non-commercial to commercial, you must purchase the appropriate Commercial License before shipping any commercial product that incorporates the Software. Under the PolyForm NC license, you have 32 days from notification to come into compliance. 5) Purchases & Payments Commercial Licenses may be purchased through: **1. Our website** (unity.lightside.media) — processed by **Paddle.com Market Limited**, acting as our Merchant of Record. Paddle handles all payment processing, invoicing, VAT/sales tax calculation, and compliance. When purchasing through our website, your contractual relationship for the payment is with Paddle, and you agree to [Paddle's Checkout Buyer Terms](https://www.paddle.com/legal/checkout-buyer-terms) in addition to these Terms. For invoiced purchases, [Paddle's Invoiced Consumer Terms](https://www.paddle.com/legal/invoiced-consumer-terms) or [Paddle's Invoiced Business Terms](https://www.paddle.com/legal/invoiced-business-terms) apply as appropriate. **2. Unity Asset Store** — governed by the Unity Asset Store Terms of Service. Payments are processed by Unity Technologies. All prices are displayed inclusive of applicable taxes unless otherwise stated. Paddle calculates and applies the correct VAT/sales tax based on your location. 6) Pricing & License Tiers For direct purchases through our website, Commercial License pricing is based on the **Revenue** (as defined in Section 2) of your legal entity: • **Indie** — for entities with Revenue up to $100,000 USD per year • **Studio** — for entities with Revenue between $100,000 and $1,000,000 USD per year • **Enterprise** — for entities with Revenue exceeding $1,000,000 USD per year **Self-Certification:** You are responsible for selecting the tier that accurately reflects your entity's Revenue. By purchasing a license, you certify that your selected tier is correct. **Audit Rights:** We reserve the right to request written certification that your use of the Software is in compliance with the applicable license tier. Upon written request, you must certify your entity's Revenue within 30 days. If your Revenue exceeds your current tier threshold, you must upgrade to the appropriate tier. Unity Asset Store purchases are subject to a single fixed price regardless of company revenue, as determined by Asset Store policies. Prices are subject to change. Any price change will not affect existing licenses — your license is perpetual at the price you paid. 7) Refund Policy We offer a **30-day money-back guarantee** for Commercial Licenses purchased through our website. **Eligibility:** • You may request a full refund within 30 calendar days of the order completion date, for any reason. • Refund requests must be sent to [unity@lightside.media](mailto:unity@lightside.media) or through Paddle's buyer support. **Process:** • Refunds are processed through Paddle (our Merchant of Record) and typically appear within 5–10 business days, returned to the original payment method. • Refund requests received after 60 days from the transaction date cannot be processed due to payment provider limitations. • Upon refund, your Commercial License is revoked and you must cease all commercial use of the Software. • You may continue using the Software under the Non-Commercial License (PolyForm NC 1.0.0). **Exclusions:** • Purchases through the Unity Asset Store are subject to Unity's refund policy, not ours. **How to Request a Refund:** • Email [unity@lightside.media](mailto:unity@lightside.media) with your order number • Or contact Paddle buyer support at [paddle.com/help](https://www.paddle.com/help/start/intro-to-paddle/i-m-a-buyer-what-can-you-help-me-with) 8) EU/UK Consumer Rights & Digital Content **Right of Withdrawal (EU/UK):** Under the EU Consumer Rights Directive (2011/83/EU) and UK Consumer Contracts Regulations, consumers have a 14-day right of withdrawal from the date of purchase, without giving any reason. **Digital Content Exception:** For digital content not supplied on a tangible medium (such as software licenses), you may waive this right by expressly consenting to immediate delivery and acknowledging that you lose your right of withdrawal once the digital content has been delivered, activated, or used. This consent is collected during the checkout process. **Statutory Rights:** Nothing in these Terms affects your statutory rights as a consumer under applicable law. If the Software is defective or not as described, you retain your rights to a remedy regardless of any waiver of withdrawal. **Note:** Our 30-day money-back guarantee (Section 7) exceeds the statutory 14-day withdrawal period and is available to all customers worldwide. 9) Intellectual Property The Software, including all source code, documentation, trademarks, and associated intellectual property, remains the exclusive property of Light Side LLC. Your license grants you the right to *use* the Software, not ownership of it. You may not remove, alter, or obscure any copyright notices, license headers, or attribution notices in the Software. Any contributions to the Software (e.g., pull requests, bug reports with patches) may require a Contributor License Agreement (CLA) and, once accepted, become the property of Light Side LLC. 10) Restrictions You may **not**: • Sublicense, sell, resell, rent, lease, or distribute the Software or your license to any third party • Use the Software to create a Competing Product (as defined in Section 2: a text rendering engine, text shaping library, font rendering library, or substantially similar tool) • Reverse engineer, decompile, or implement the Software, in part or in full, in a Competing Product • Remove or circumvent any license validation or enforcement mechanisms • Misrepresent your entity's Revenue to obtain a lower-tier license • Use the Software in any way that violates applicable laws or regulations • Publicly share, redistribute, or repackage the Software in a manner that allows unlicensed commercial use by third parties **Exclusions from restrictions:** The above restrictions do not apply to: • Games, applications, and other end-user products developed with the Software • Add-ons, tools, or assets created *for* the Software (e.g., custom modifiers, extensions) • Components of the Software governed by third-party open-source licenses 11) Support & Updates Commercial License holders receive: • Access to community support via our Discord server and GitHub Issues • Bug fixes and updates published to the Software's GitHub repository • The right to use any future version of the Software released during the lifetime of their license We do not guarantee response times or resolution of specific issues. Enterprise customers may negotiate separate support agreements by contacting us at [unity@lightside.media](mailto:unity@lightside.media). 12) Warranty Disclaimer THE SOFTWARE IS PROVIDED **'AS IS** WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Software will be error-free, uninterrupted, or free of harmful components. You assume all risk associated with the use of the Software. This disclaimer does not affect any statutory rights you may have as a consumer under applicable law. 13) Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Light Side LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud. 14) Indemnification You agree to indemnify, defend, and hold harmless Light Side LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Software, your violation of these Terms, or your violation of any applicable law. 15) Termination Your license continues for as long as you comply with these Terms. **Termination by us:** We may terminate your license if you materially breach these Terms and fail to cure the breach within 30 days of written notice. **Termination by you:** You may stop using the Software at any time. If negotiation fails, disputes shall be submitted to the competent courts of Tbilisi, Georgia, or, at the election of either party, to arbitration administered by the Georgian International Arbitration Centre (GIAC) under its rules.
